These Terms and Conditions ("Terms") govern your participation in the Cotopaxi TikTok Shop Affiliate and Creator Program (the "Program"). By applying to or participating in the Program, you ("Creator," "Affiliate," "you," or "your") agree to be bound by these Terms. If you do not agree, do not participate.
These Terms are in addition to TikTok's Creator Terms and Commerce Policies. Cotopaxi and you each acknowledge that TikTok is not a party to this agreement.

- Overview of the Program
The Cotopaxi TikTok Shop Affiliate Program allows creators to promote eligible Cotopaxi products through TikTok Shop affiliate links or storefronts and earn commissions from qualifying sales. Participation in the Program is subject to Cotopaxi's approval and ongoing compliance with these Terms.
Cotopaxi is committed to "Gear for Good" — and expects creators to reflect our mission of doing good, being kind, and making a positive impact through storytelling and social commerce.

- Eligibility
To qualify for participation:
- You must be at least 18 years old (or of legal age in your jurisdiction).
- You must maintain an active TikTok account in good standing.
- You must comply with TikTok's Community Guidelines, Commerce Policies, and all applicable laws.
- You must represent Cotopaxi authentically and uphold the brand’s values of sustainability, impact, and integrity.
Cotopaxi reserves the right to approve, reject, or remove any creator or affiliate from the Program at any time and for any reason.

- Enrollment & Participation
To enroll, apply through the Cotopaxi TikTok Shop page or as directed by the Cotopaxi marketing team. Once accepted, you'll receive access to affiliate links, creative assets, and other promotional resources.
By participating, you agree to:
- Use only the affiliate tools provided or approved by Cotopaxi.
- Ensure all content aligns with Cotopaxi’s brand values.
- Avoid misleading representations about Cotopaxi products or offers.

- Content & Advertising Guidelines
Creators must adhere to the following standards:
Disclosure & Compliance
- You must clearly disclose your partnership (e.g., "#ad," "#CotopaxiPartner," or "#CotopaxiAffiliate") in every piece of sponsored or affiliate content.
- Disclosures must comply with the FTC’s Endorsement Guidelines and any applicable laws.
Brand Integrity
- Accurately describe Cotopaxi products and their uses.
- Do not make unverified claims about product performance, sustainability impact, or charitable contributions.
- Do not imply an official Cotopaxi endorsement beyond your affiliate role.
- Use only approved imagery, videos, and logos provided by Cotopaxi or available on TikTok Shop.
- Do not use Cotopaxi's intellectual property in any paid ads, social handles, or domains without prior written permission.
Content Restrictions
Content must not:
- Promote or depict violence, hate, discrimination, or illegal activity.
- Contain explicit, offensive, or unsafe material.
- Misrepresent product pricing or availability.
- Compare Cotopaxi to competitors in a disparaging or misleading way.
- Undermine Cotopaxi's values, employees, or community initiatives.
Cotopaxi may review, request edits to, or require removal of any content that violates these standards or harms the brand.

- Commissions & Payment
- Affiliates earn a commission on qualifying purchases tracked through their TikTok Shop affiliate links.
- Commission rates and product eligibility are determined by Cotopaxi and may vary.
- Payments are processed through TikTok Shop in accordance with TikTok’s payout policies.
- Commissions will not be paid on canceled, refunded, or fraudulent orders.
- Cotopaxi reserves the right to adjust commission rates or remove products from the program at any time.
Creators are responsible for all applicable taxes and reporting obligations related to earned commissions.

- Independent Contractor Relationship
You are participating as an independent contractor. Nothing in these Terms shall create an employment, partnership, or agency relationship between you and Cotopaxi. You may not represent yourself as an employee or agent of Cotopaxi in any capacity.

- Prohibited Conduct
You agree not to:
- Manipulate traffic, clicks, or engagement (including using bots or purchased views).
- Use spam or misleading practices to drive sales.
- Bid on Cotopaxi trademarks or product names in paid ads without written consent.
- Share unauthorized discounts, coupon codes, or pricing information.
- Promote counterfeit products or other brands using Cotopaxi trademarks or links.
Violation of these restrictions may result in immediate termination and forfeiture of unpaid commissions.

- Termination
Cotopaxi may suspend or terminate your participation in the Program at any time, with or without cause. Common reasons include, but not limited to:
- Breach of these Terms
- Fraudulent activity
- Inactivity or lack of compliance
- Behavior inconsistent with Cotopaxi's mission or brand reputation
Upon termination, you must immediately remove all Cotopaxi content, links, and promotional assets from your channels.

- Intellectual Property Rights
All Cotopaxi trademarks, images, text, and creative assets are the exclusive property of Cotopaxi. Affiliates and creators are granted a limited, revocable, non-transferable license to use these assets solely for authorized Program promotion.
Cotopaxi retains ownership of all rights, and no transfer or ownership is implied by participation.

- Disclaimers & Limitation of Liability
The Program is provided "as is." Cotopaxi makes no representations or warranties regarding potential earnings, product availability, or platform functionality.
In no event shall Cotopaxi be liable for indirect, incidental, or consequential damages arising from participation in the Program..

- Indemnification
You agree to defend, indemnify, and hold harmless Cotopaxi, its affiliates, officers, employees, and partners from any claims, damages, or liabilities arising out of your participation, including violations of these Terms or applicable law.

- Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Utah without regard to conflict of law principles. Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration conducted in Salt Lake City, Utah, in accordance with the rules of the American Arbitration Association.

- Modification of Terms
Cotopaxi reserves the right to modify or update these Terms at any time. Changes will take effect when posted on cotopaxi.com through TikTok Shop. Continued participation constitutes acceptance of the revised Terms.
